Praxis Terms of Use

1. Who we are and what Praxis is

Praxis is provided by Meerkat Labs Inc., a company registered in British Columbia, Canada ("Meerkat", "we", "us"). Praxis is a clinical information assistant for licensed healthcare professionals. It answers questions using a language model, retrieves published literature and documents you have provided, and runs every answer through a verification process that checks individual claims against retrieved evidence and records the results.

Praxis is a tool for informed professionals. It is not a medical device, it does not diagnose or treat anyone, and it is not a substitute for your clinical judgment, your institution's policies, or the standard of care in your jurisdiction.

2. Who may use Praxis

You may use Praxis only if all of the following are true:

  • You are a licensed or registered healthcare professional, or a person authorized by a participating institution to use Praxis in a defined role (for example, a governance reviewer).
  • Your institution has an agreement with Meerkat covering your use, or you are using Praxis under an evaluation arrangement Meerkat has approved.
  • You are at least the age of majority in your province or territory.

If your institution's agreement with Meerkat conflicts with these terms, the institutional agreement governs your use.

3. Your account

Praxis uses a third-party identity provider (Clerk) for sign-in. You are responsible for the security of the credentials and devices you use to access Praxis and for all activity under your account. Tell us and your institution immediately if you believe your account has been used without authorization. Do not share your account.

4. How to use Praxis responsibly

You agree to:

  • Treat every answer as a starting point for your own evaluation, not a conclusion. Praxis marks claims it could verify, claims it could not verify, and claims that retrieved evidence contradicts. An unverified claim is not a wrong claim, and a verified claim is not a guarantee.
  • Read the verification flags. They exist so that you can decide, with the evidence in front of you, whether to rely on a statement.
  • Follow your institution's rules on patient information. Praxis includes controls that refuse uploads and messages containing patient identifiers it detects, and that screen outbound content. These controls are safeguards, not permission. Do not enter patient identifiers unless your institution's agreement with Meerkat expressly permits it.
  • Use Praxis only for lawful purposes within the scope your institution has authorized.

You agree not to:

  • Attempt to extract, reverse-engineer, or replicate Praxis's models, prompts, verification logic, or governance records except as your institutional agreement allows.
  • Attempt to bypass, disable, or test the limits of Praxis's safety, privacy, or verification controls, including by crafting inputs intended to alter how Praxis processes later inputs.
  • Use Praxis to produce material that misrepresents its verification status, for example by presenting an unverified statement as verified.
  • Interfere with the service, other users, or the governance record.

5. What Praxis does with your inputs

When you ask a question, upload a document or image, or dictate a message, Praxis processes that content to generate and verify an answer. The Privacy Policy describes what is collected, where it is processed, and how long it is kept. In summary: content is processed within infrastructure Meerkat operates in Canada, some verification steps use models hosted by cloud providers under contract to Meerkat, and a record of each verified answer is kept for governance and audit.

You retain whatever rights you hold in content you provide. You grant Meerkat the right to process that content to provide, verify, secure, and improve Praxis, and to keep the governance records described in section 6, in each case subject to the Privacy Policy and your institutional agreement.

6. The governance record

Praxis keeps an append-only record of its verification activity: which claims were checked, against what evidence, what each verifier concluded, what the reviewing model concluded, and what human reviewers concluded when they examined a flag. This record cannot be edited or deleted by users or by Meerkat staff in the ordinary course; corrections are made by adding new entries that reference the ones they supersede.

The governance record exists so that your institution can audit how Praxis behaved, so that errors can be found and characterized, and so that Praxis's verification can be improved. Authorized reviewers at your institution and at Meerkat may examine records that include your questions and Praxis's answers. Reviewer access is itself recorded.

7. Verification, limits, and your responsibility

Praxis's verification is designed to be conservative: it prefers to flag a claim it cannot confirm over letting an unsupported claim pass quietly. That design has consequences you should understand:

  • Some flags will be false alarms. A claim may be correct and still be marked unverified because no retrieved source confirmed it.
  • Some errors will not be flagged. Verification checks claims against retrieved evidence, and evidence can be incomplete, outdated, or itself wrong. A claim supported by a retrieved source is supported by that source, not proven true.
  • Retrieved documents, including documents you upload, can contain text that influences how the model answers. Praxis includes controls against this, and those controls have declared limits that Meerkat documents in its governance materials.
  • Praxis does not have access to your patient's record unless your institution has integrated it, and it does not know your clinical context beyond what you tell it.

You are responsible for every clinical decision you make. Praxis provides information to support that decision; it does not make it.

8. Availability and changes

Meerkat may modify, suspend, or discontinue features of Praxis, and may update these terms. Material changes to these terms will be communicated to your institution and shown to you in Praxis before they take effect. Continued use after the effective date of a change means you accept it, subject to your institutional agreement.

Praxis is provided during evaluation and pilot phases with no commitment to uptime unless your institutional agreement says otherwise.

9. Intellectual property

Praxis, including its software, models, prompts, verification logic, interface, and documentation, is owned by Meerkat or its licensors. These terms do not transfer any ownership to you. Meerkat's name and Praxis's name and marks may not be used without written permission.

Published literature retrieved by Praxis remains the property of its respective rights holders and is presented under the terms on which it was obtained.

10. Disclaimers

Praxis is provided "as is" and "as available." To the fullest extent permitted by law, Meerkat disclaims all warranties, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, and non-infringement. Meerkat does not warrant that Praxis will be error-free, that verification will identify every error, or that retrieved evidence is current or correct.

Nothing in these terms limits liability that cannot be limited under the laws of British Columbia or Canada, and nothing in these terms is intended to displace the professional obligations you owe to your patients and your regulator.

11. Limitation of liability

To the fullest extent permitted by law, Meerkat and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or relating to your use of Praxis. Meerkat's total liability for any claim arising out of these terms will not exceed [the amount paid by your institution for Praxis in the twelve months before the claim, or CAD $[amount] if no amount was paid]. 12. Suspension and termination

Meerkat may suspend or terminate your access if you breach these terms, if your institution's agreement ends, if your institution asks us to, or if required by law. You may stop using Praxis at any time. Sections 5, 6, 9, 10, 11, and 14 survive termination. The governance record is retained after termination for the period in section 6.

13. Feedback

If you report a problem with a Praxis answer or flag, you agree that Meerkat may use that report to improve Praxis, including by adding it to the governance record and to internal evaluation sets, subject to the Privacy Policy.

14. Governing law and disputes

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Any dispute will be resolved in the courts of British Columbia, unless your institutional agreement provides a different mechanism, in which case that mechanism applies.
